Thank you for joining Dirt Swapping, LLC, dba Dirtswapping.com. Please read this Agreement carefully.
Membership Cost and Term. Membership costs $360.00 per year. Memberships are for a term of one year, running from the date Dirt Swapping, LLC first goes live (currently anticipated for mid-September 2009), or when you sign this Agreement, whichever comes later.
Payment. You agree that Dirt Swapping, LLC will charge your credit card in 12 monthly installments of $30.00, unless you pay the full $360.00 membership cost upon joining. You agree to maintain your credit card information up to date with Dirt Swapping, LLC. Dirt Swapping, LLC may deactivate your user name and password if your monthly credit card payment is declined for any reason.
Cancellation and Renewal. Cancellations are not permitted during the membership term. There is no automatic renewal; you will be offered renewal upon expiration of your membership term.
User Name and Password. You will be provided with a logon and password, which is valid for you and your company. You may not share your logon and password among any other companies.
Posting Listings. Members in good standing may post an unlimited number of "Need Dirt," "Have Dirt," "Need Dumpsite", and "Have Dumpsite" listings, which are valid for 30 days. You may re-post expired listings an unlimited number of times, as long as you are a member in good standing. You are solely responsible for the content of your listings. Dirt Swapping, LLC is not responsible for any errors in any listings. Listings may not contain offensive language or advertise your business or services other than dirt or dumpsite swapping. Dirt Swapping, LLC reserves the right to remove offensive or inappropriate listings at its discretion.
Geographic Coverage. Dirt Swapping, LLC anticipates that listings will cover all of Connecticut, Westchester County New York, and Western Massachusetts. You may post or respond to listings thorough Dirt Swapping, LLC's coverage area. You will not be charged any additional cost if the geographic coverage area expands during your membership term.
No Warranties. Dirt Swapping, LLC makes no warranties regarding availability of dirt or dumpsites. Individual members decide whether to accept your response to their ad. You may be turned away from a dumpsite or dirt listing. Dirt Swapping, LLC makes no warranties regarding your ability to qualify for LEED credits.
Dirt Swapping, LLC makes no guarantee regarding website downtime caused by (a) outages to public Internet backbones, networks, or servers, (b) failures of your equipment, (c) scheduled maintenance, or (d) events beyond Dirt Swapping, LLC's control, such as fires, floods, war, strikes, riots, natural disasters, or governmental action.
Non-Exclusivity. Dirt Swapping, LLC does not guarantee exclusivity of your listing. Your competitors may post listings. Dirt Swapping, LLC may post its own listings.
Collection. If your credit card payment is declined and you do not provide Dirt Swapping, LLC with a valid credit card within 10 days, Dirt Swapping, LLC may purse legal action against you to recover any unpaid membership cost. You are responsible for Dirt Swapping, LLC's costs of collection, including court costs and attorneys' fees if you violate this Agreement.
Miscellaneous. This Agreement constitutes the entire Agreement between you and Dirt Swapping, LLC. Any modifications to this Agreement must be made in writing. Dirt Swapping, LLC may assign this Agreement without notice. This Agreement will be governed by Connecticut law.
Privacy Policy. Dirt Swapping, LLC has separately provided you with its current Privacy Policy. Please read the Privacy Policy carefully.
